Client is responsible for the means you use to access the Site and all costs associated therewith. Zaim is not responsible for the performance of your hardware, software, the Internet, your Internet service provider and other third parties involved in connecting you to the Zaim Website.

USE OF INFORMATION

Client agrees to treat all information obtained from the Zaim Website, including listings, search format, search methodology, resource information, blog or social media information, and any information otherwise made available to the Client, (individually and collectively known as “Zaim Content”), as proprietary to Zaim. Client agrees that Content reserved for Members will be maintained as confidential and shall be protected as a trade secret of Zaim, . Zaim does not ensure the accuracy of, endorse or recommend any Zaim Website Content and Client uses such Content at the Clients’ own risk. Client may access the Property Listings (the “Listings”) solely to obtain initial information from which further evaluation and investigation may commence. The listing details of these properties are also shared with other clients. At the time of acting on a specific listing, it is possible that the properties are in escrow or already sold. In such situations, Zaim may share the listings of other available properties from the inventory.

Client shall limit access to and use of Listings and all Zaim Content to personal and internal use, and shall not use Listings or any other Zaim Content for further distribution, publication, public display, or preparation of derivative works or facilitate any of these activities in any way. Client shall not use or reproduce Listings obtained from Zaim for or in connection with any other listing service or device. Clients violating these specific terms, including those Clients utilizing the Zaim Website in an abusive or excessive manner, by automated or manual means, shall be subject to immediate termination of their membership, and any and all other remedies available to Zaim by state and/or federal law.

SUBMISSION AND ADMINISTRATION OF LISTING

Client agrees not to submit any property descriptions, photographs, financial, contact or other information contained in each Property’s data to the Zaim Website unless the Client has received all necessary rights and authorizations, including from the photographer and/or copyright owner of any photographs, to publish and advertise the Property on the Client’s website or on the Zaim Website or associated websites. Specifically, Client will not submit a photograph if Client received the photograph from a third party information provider under the terms of a license that does not allow posting of such photograph on the Zaim Website. Zaim may, in its sole discretion but without any obligation to search for such, remove properties from display on the Zaim Website that are alleged to have been submitted in violation of this provision. In addition, Zaim may require additional evidence of compliance with this provision from Clients who are alleged to have submitted properties or other information in violation of this Agreement. Zaim will, in its sole discretion, terminate the accounts of, and refuse service to, any Client who repeatedly or knowingly violates this Agreement. Client agrees to maintain accurate contact information (specifically, a valid phone number and email address) in order to submit and maintain active property listings on the Zaim Website. Additionally, the Client agrees to allow the Property Listing, or any part of it, to be searched, displayed, accessed, downloaded, copied, and otherwise referred to by users of the Client’s website or the Zaim Website. Zaim shall have the sole authority to choose the manner in which any Property will be searched, displayed, accessed, downloaded, copied, and otherwise used on the Zaim Website and Zaim Platform . shall have the right to modify the property listing in the exercise of its rights under this Agreement. The Client (a) represents and warrants that all properties and associated information provided by the Client will be accurate; (b) agrees that the Client will not permit the posting of a property on the Zaim Website under a name other than the named licensed real estate agents that have been engaged by the property owner to market the property under the terms of a duly executed listing agreement with the owner; (c) agrees to administer the Listings related to the properties provided by the Client and maintain their accuracy at all times. Zaim reserves, in a manner consistent with reasonable commercial business practices, the right to remove all or any part of the properties posted on the Zaim Website. Zaim accepts no responsibility for checking the accuracy of reports or data files submitted by the Client. While Zaim shall take all reasonable efforts for data backup and business resumption, the Client will be solely responsible for retaining back-up copies of all information, photographs and other materials it provides to Zaim for the Zaim Website.

REFERRAL AGREEMENT- (Licensed Real Estate Professionals Only)

Members who are licensed real estate professionals and who send referrals (Referring Member) will be assigned to said referrals as the local expert on real estate within the state or country chosen in their zaim.sa profile (designated country or state). Outside the Referring Member’s designated state, referrals will be assigned a licensed buyer’s agent who has agreed to pay Referring Member a referral fee equivalent to a mutually agreed gross commission received by said buyer’s agent. This shall apply to all referrals from Referring Member for as long as the Referring Member remains a member of HomeUnion.com.

DISCLAIMERS AND LIMITATIONS

Zaim will make every reasonable effort to ensure that the information contained on the Zaim website is accurate and reliable; however, errors sometimes occur. in addition, Zaim may make changes and improvements to the information provided herein at any time. this website and the information, software, products and services associated with it are provided “as is.” Zaim and/or its suppliers or real estate investor professionals disclaim any warranty of any kind, whether express or implied, as to any matter whatsoever relating to this web site and any information, software, products and services provided herein, including without limitation the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. use of this web site and/or other Zaim sites is at client’s own risk. Zaim and/or its suppliers or real estate investor professionals are not liable for any direct, indirect, punitive, incidental, special or consequential damages or other injury arising out of or in any way connected with the use of this web site and/or Zaim’s services or with the delay or inability to use this web site, or for any information, software, products and services obtained through this web site, or otherwise arising out of the use of this web site, whether resulting in whole or in part, from breach of contract, negligence, strict liability or otherwise, even if Zaim and/or its suppliers, or real estate investor professionals had been advised of the possibility of damages. some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to the client.

NOTICES

All notices to Zaim must be in writing and must be sent registered mail, certified mail, or overnight mail with a return receipt requested to Zaim physical address.

ASSIGNMENT

This Agreement shall be binding upon and shall inure to the benefit of the parties and their respective successors and permitted assigns. The rights under this Agreement or any license granted hereunder may not be assigned, sublicensed or otherwise transferred by Client without the prior written consent of Zaim which retains the right to withhold consent in its sole discretion.

OTHER TERMS

This Agreement constitutes the entire agreement between the Client and Zaim and it supersedes all prior or contemporaneous communications, promises and proposals, whether oral, written or electronic, between the Client and Zaim with respect to Zaim Website and information, software, products and services associated with it.

OTHER RIGHTS OF Zaim, .

Client agrees that Zaim shall have the right to use Listings and other information submitted to Zaim Website for any purpose, including without limitation for publication of all or part of such Listing on the Internet for unrestricted use by Zaim Clients and partners. Zaim shall have sole authority to choose the manner in which any Listing will be received, displayed and used by the Service, and reserves the right to remove all or any part of a Listing or refuse Services to anyone at any time in its sole discretion. Zaim shall have no obligation to (i) resolve disputes among users of the Zaim Website; or (ii) monitor or verify the accuracy or proper use of the Listings. Zaim reserves the right to modify or change any and all terms and conditions at any time. The most current copy of these terms and conditions will be posted and available for review on Zaim Website, located at https://www.zaim.sa.

TERMINATION

Zaimre serves the right, in its sole discretion, to restrict, suspend or terminate these Terms of Use and your access to all or any part of the Zaim Website, at any time and for any reason without prior notice or liability. Zaim reserves the right to change, suspend or discontinue all or any part of the Zaim Website at any time without prior notice or liability.

SECURITY OF THE SITE

Actual or attempted unauthorized use of the Zaim Website may result in criminal and/or civil prosecution. Zaim reserves the right to view, monitor and record activity on the Zaim Website without notice or permission from you. Content Contained in the Zaim Website

a.The Zaim Website and all of its contents including, but not limited to, all information, text, messages, images, photos, illustrations, designs, icons, video clips, sounds, files, trademarks, copyrighted material, trade dress, software, specifications, catalogs, literature, technical information, advertisements and other content or materials on the Zaim Website (collectively, “Content”) is owned by Zaim and/or third parties with all rights reserved unless otherwise noted. c.Zaim does not guarantee any information provided by any borrower, any specific loan terms and conditions offered by an advertiser, lender, broker or mortgage professional, or that any person will be offered or able to obtain any particular rates, loan, loan application, quote, pre-qualification, pre-approval, loan commitment or loan-related transaction.

d.Zaim is not a lender, mortgage broker, loan originator, loan processor or underwriter. Zaim does not aid or assist in obtaining loans or loan applications, nor in setting or negotiating any terms thereof, nor in making loan or loan application decisions.

e.Zaim does not offer loans and does not solicit or participate in the solicitation of loans or loan applications.

f.Zaim does not take applications for loans or credit nor issue or participate in the issuance of pre-qualifications or pre-approvals.

g.Any request for, inquiry about or agreement to receive or be contacted about loans, loan applications, quotes, pre-qualifications, pre- approvals, loan commitments or loan-related transactions by any consumer or person (e.g., by way of advertisements on websites or mobile apps operated by Zaim) is not, and will not be responded to by Zaim as, an order, application, offer or transaction for any credit, loan, loan application, quote, pre-qualification, pre- approval, loan commitment or loan-related transaction or other loan or credit product.

h.Zaim does not endorse or recommend any lender, any borrower nor any of the products, rates or offerings of any lender, broker or mortgage professional.

i.Nothing contained in any mortgage-related ad or other ad is an offer to provide, or a solicitation for, any loan, loan application, quote, pre-qualification, pre-approval, loan commitment or loan-related transaction.

j.Zaim is not an agent of any consumer or borrower nor of any advertiser, lender, broker or mortgage or loan professional.

k.Zaim sometimes may provide advertising services, services to facilitate contact when consumers wish to be contacted by lenders, mortgage brokers or other loan professionals and/or other like services relating to use of the website or mobile app Zaim operates.

l.Decisions regarding loans, loan applications, quotes, pre- qualifications, pre-approvals, loan commitments or loan-related transactions are not made by Zaim but are made by lenders, brokers or other loan professionals which might include participating advertisers of Zaim.

m.Zaim does not make or give any guarantee regarding, and assumes no responsibility for, any such decisions, nor any acts or omissions of lenders, brokers or other loan professionals, nor any result or consequence (direct or indirect) of any business transaction (actual, proposed or discussed) or related communications between lenders, brokers or other loan professionals and any other person, nor any rates, information or other content on or accessible through any website or app that did not originate solely from Zaim.

n.The foregoing disclosures reflect Zaim’s good faith conclusions regarding the subject matter of such disclosures, and Zaim takes no responsibility for, and shall have no liability as a result of or in connection with, any assertions, findings or conclusions that might be made, adjudicated, established or otherwise reached by anyone other than Zaim, nor any actual or alleged inaccuracy of or other fault with any such disclosures.

Brokers, Agents and SROs

a.Any real estate broker or agent, or anyone without an agent selling property for his own account (the “Agent”) using this website, is bound by these Terms of Use.The Agent is obliged to fulfill its Agent Profile on Zaim's Platform. The Agent represents and warrants to Zaim that the Agent has full legal power and authority, including all required licenses, permits, and other governmental approvals, to enter into this Agreement and to perform the services required under this Agreement.

b.Zaim will list Agents real estate listings on its Platform. Each listing is uploaded on the Platform manually by the Agent.

c.Zaim will use its commercially reasonable efforts to advertise the Agent’s Listings in international search engines and social media.

d.The Agent shall send written notice to the Provider for the following sale transactions: 1. Receiving a deposit payment, 2. Signing property purchase agreement.

e.The Agent and the Purchaser shall indemnify, save, defend, keep and hold harmless Zaim from any and all loss, damage, cost, charge, liability, cost of litigation, or other expense, including without limitation attorneys fees and court costs, arising out of its obligations and duties, including but not limited to (i) disputes arising or concerning amounts of money to be paid, (ii) funds available for such payments, (iii) 2 persons to whom payments should be made or (iv) any delay in the electronic wire transfer of funds, as the Provider, unless the Providers actions constitute gross negligence or willful misconduct.

f.License. Solely to enable this site to use the information with which you supply us, and so that we are not violating any rights you might have in that information, you agree to grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty- free, sub-licensable (through multiple tiers) right to exercise the copyright, publicity, and database rights you have in your information, in any media now known or not currently known, with respect to your information.

g.Privacy. Please see Your Privacy Rights on the Zaim web site which is incorporated herein by reference.

General Terms

a.Applicable Law.This Terms of Use is governed by the laws of the State of OHIO, U.S.A. without regard to conflicts of laws principles. You hereby consent to the exclusive jurisdiction and venue of courts sitting in OHIO, County of Cincinnati and/or District of Cincinnati in all disputes arising out of or relating to accessing or using of the Zaim Website. Access or use of the Zaim Website is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph.

b.You agree that no joint venture, partnership, employment, or agency relationship exists between you and Zaim as a result of the Terms of Use or accessing or using the Zaim Website. Zaim’s performance under the Terms of Use is subject to existing laws and legal process, and nothing contained in the Terms of Use is in derogation of Zaim’s right to comply with governmental, court and law enforcement requests or requirements relating to your access or use of the Zaim Website or information provided to or gathered by Zaim with respect to such use.

c.Breach. Without limiting any of our other remedies, we may immediately remove your property marketings, warn our community of your actions, issue a warning, temporarily suspend, indefinitely suspend or terminate your membership and refuse to provide our services to you if: (a) you breach this Agreement; (b) we are unable to verify or authenticate any information you provide to us; or (c) we believe that your actions may cause financial loss or legal liability for you, our users or us.

d.Interpretation of the Terms of Use.If any part of the Terms of Use is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations contained herein, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Terms of Use shall continue in effect.
